Terms of Use

1. Introduction

These Terms of Use (the "Terms") govern access to and use of the website, intake forms, document upload pages, confirmation pages, and related services (collectively, the "Site") operated by SMB Commercial, LLC d/b/a SMB Commercial Capital. By using the Site, you agree to these Terms and to the Privacy Policy.

2. Definitions

  • "SMB Commercial Capital," "we," "us," or "our" means SMB Commercial, LLC d/b/a SMB Commercial Capital.
  • "Site" means apply.smbcommercialcapital.com and related pages, intake forms, referral links, confirmation pages, and document upload links.
  • "User," "you," "applicant," or "authorized representative" means any person who accesses the Site, submits a business funding request, uploads documents, or communicates with us through the Site.
  • "Funding Partner" means a third-party lender, finance company, factor, equipment finance provider, private credit source, broker, syndicator, or other financing source or intermediary that may review or assist with a business-purpose financing request.

3. Acceptance of Terms

By using the Site, submitting a form, uploading documents, or checking the required consent boxes, you agree to be bound by these Terms and the Privacy Policy. If you do not agree, you should not use the Site.

4. Business-Purpose Use Only

The Site is intended solely for business-purpose financing requests. You may not submit requests for personal, family, or household purposes. By submitting a request, you certify that any requested financing is for business or commercial purposes only.

5. Not a Lender / No Guarantee

SMB Commercial Capital is not a bank and does not make final lending or funding decisions. SMB Commercial Capital may review submitted information, request supporting documents, and refer or submit information to one or more Funding Partners where appropriate. Submission of information through the Site does not represent an approval, financing commitment, offer of financing, or obligation to provide financing. Any financing terms, approvals, documentation, or funding decisions are made by the applicable Funding Partner or financing source.

6. Applicant Representations

By submitting a request, you represent and warrant that:

  • You are at least 18 years old.
  • You are authorized to submit information on behalf of the business.
  • Information you submit is accurate and complete to the best of your knowledge.
  • You will not submit false, misleading, fraudulent, unlawful, or unauthorized information.
  • You will provide updated information if material facts change.
  • You understand SMB Commercial Capital may rely on submitted information when reviewing or routing the request.

7. Permission to Contact

By submitting information, you consent to be contacted by SMB Commercial Capital and its representatives by phone, email, or other contact information you provide, for purposes related to your submitted request, document collection, or related business communication. You may opt out of non-essential communications at any time by contacting us.

8. Permission to Share Information with Funding Partners

You authorize SMB Commercial Capital to review the information you submit and, where appropriate, share business and applicant information with one or more Funding Partners for the purpose of evaluating potential business-purpose financing options. Funding Partners may have their own applications, disclosures, underwriting requirements, privacy policies, and terms, which will govern their interactions with you.

9. Document Uploads

  • Documents are uploaded voluntarily in connection with a business-purpose financing request.
  • You should not upload documents unless requested or unless relevant to the business request.
  • You are responsible for ensuring you have authority to upload the documents.
  • SMB Commercial Capital may use uploaded documents to review the request and share them with Funding Partners where appropriate.
  • SMB Commercial Capital does not guarantee that uploaded documents will result in financing.

10. No Legal, Tax, Accounting, or Investment Advice

SMB Commercial Capital does not provide legal, tax, accounting, investment, or financial planning advice. You should consult your own attorney, certified public accountant, financial advisor, or other qualified professional advisor before entering into any financing arrangement.

11. Site Use Restrictions

You agree not to:

  • Use the Site for any unlawful purpose.
  • Upload malware, viruses, or other harmful files.
  • Attempt to access admin areas or other restricted resources without authorization.
  • Interfere with the security or operation of the Site.
  • Submit false, misleading, or unauthorized information.
  • Use automated bots, scrapers, or similar tools to access the Site.
  • Copy, reproduce, or misuse Site content.

12. Intellectual Property

The Site, forms, text, graphics, logos, workflows, and related content are owned by or licensed to SMB Commercial Capital / SMB Commercial, LLC and may not be copied, reused, modified, or distributed without our prior written permission.

13. Third-Party Links and Funding Partners

The Site may link to third-party websites, applications, Funding Partner portals, document-signing tools, or other services. SMB Commercial Capital is not responsible for third-party websites, terms, privacy practices, underwriting decisions, delays, errors, or actions.

14. Availability and Accuracy

SMB Commercial Capital makes reasonable efforts to maintain the Site but does not guarantee uninterrupted access, error-free operation, or that all information on the Site is current, accurate, or complete.

15. Disclaimer of Warranties

The Site is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by applicable law, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

16. Limitation of Liability

To the maximum extent permitted by law, SMB Commercial Capital and SMB Commercial, LLC shall not be liable for any indirect, incidental, consequential, special, punitive, or lost-profit damages arising from or related to your use of the Site, document uploads, Funding Partner decisions, or inability to access the Site, even if advised of the possibility of such damages.

17. Indemnification

You agree to indemnify, defend, and hold harmless SMB Commercial, LLC d/b/a SMB Commercial Capital and its officers, members, employees, and representatives from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, violation of these Terms, unauthorized submissions, false information, or violation of any law.

18. Changes to Terms

We may update these Terms from time to time. Updated Terms are effective when posted on the Site. Your continued use of the Site after updates constitutes acceptance of the updated Terms.

19. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising from or relating to these Terms or the Site shall be brought in the state or federal courts located in Florida, and you consent to the personal jurisdiction and venue of those courts.
